A buy-in management buyout (BIMBO) is a transaction that combines the features of a management buy-in and a management buyout. Existing management is involved in a transaction, but outside experts are also brought in to add depth to the team.

This type of transaction is ideal for businesses that have strong operational management but lack leadership due to the selling owner’s departure. In most cases, the existing management that is buying in has the operational capabilities to run the day-to-day business, but additional leadership is required to drive strategic initiatives and improve customer relationships in order to add value to the business.

BIMBO is one of the best acronyms in corporate finance for a buy-in management buyout. Private equity firms may use this type of transaction to add sophistication to operationally focused management teams. It is also started by owners who support an MBO but recognise the need for a leader after they leave.

The most difficult aspect of a BIMBO is that the existing management team must accept new outside experts joining their team. These experts are frequently promoted to positions of leadership, which may engender resentment among other team members. It is critical to resolve these issues before completing a transaction.

Banking institutions that provide transaction financing typically prefer a BIMBO because existing management is already familiar with the business and outside management coming in has the expertise and motivation to improve it. Both current management and incoming leadership typically have an investment in the company, which aligns their personal goals with the creation of value in the company.
