Define: Estoppel Certificate

An estoppel certificate is a legal document used in real estate transactions to confirm certain facts or representations regarding a property. Typically, it is provided by a tenant to a potential buyer or lender upon request. The purpose of an estoppel certificate is to prevent the tenant from later making claims that contradict the statements made in the certificate. It usually includes information such as the current lease terms, rental payments, security deposits, and any existing agreements or obligations between the landlord and tenant. By signing the estoppel certificate, the tenant acknowledges and confirms the accuracy of the information provided, thereby “estopping” them from making contradictory claims in the future.
