Full Definition of CEO/CFO Certification


A written statement signed by the chief executive and chief financial officers of a publicly traded company that attests to their control over and acceptance of responsibility for internal controls relating to financial reporting. The CEO/CFO certifications are required under the Sarbanes-Oxley Act of 2002 and are a means of holding executives accountable for fraudulent financial statements.
